| ALLOTTED TIME: In
the event that the charterer exceeded the agreed stipulated
travel time or distance, charterer agrees to pay LESSOR
an additional amount computed at ………………..………. Per hour
to be paid with the principal sum upon presentation of
the statement of account; |

| OVERLOADING: The
maximum capacity of the bus is SIXTY (60) passengers
only. It is the responsibility of the charterer that
this limit should not be exceeded. Any damage to the
bus or injuries suffered by any of the passengers as
a result of an overloading, shall make the charterer
primarily liable; |
| |
| BOOKING/CANCELLATION: Booking
or cancellation shall be in writing. However, no cancellation
fee will be charged to the charterer if the said cancellation
is made seventy-two (72) hours prior to the stipulated
departure time, otherwise, a fee of 50% on the principal
sum shall be charged to the charterer for any cancellation.
AA BUSINESS CLASS TRANSPORT CORP. reserved the right
to cancel any trips covered by this agreement, if in
its discretion and in good faith, it is of the belief
that the continuation of the trip may endanger the lives
of the passengers or may cause damage to the vehicle.
Moreover, LESSOR shall not be liable for any delay or
damages caused by a strike, lockout, natural calamities
or force majeure; |

INTEREST: In
the event that the charterer fails to pay its account
on the specified date, the unpaid balance shall bear
an interest of 14% per annum computed from the date due
until the amount is fully paid. However, in case of court
litigation, charterer agrees to pay 25% of the unpaid
balance as attorney’s fee, plus cost which in no
case shall be less than Php 2,000.00; the venue of court
action involving this agreement shall be in the City
of Manila, Philippines.

| INSURANCE CLAIMS: AA
BUSINESS CLASS CORPORATION obligates itself to provide
its buses with adequate insurance coverage to protect
itself against the claims of the charterer’s passengers
should an accident occur and which damages/liabilities
shall be limited to the insurance coverage of the bus.
In this regard, it is obligation of the charterer that
passengers shall obey all rules and regulations imposed
by the LESSOR and any violation resulting in damages
or injury to the passengers shall be the liability of
the charterer; |

| PRICE ESCALATION CLAUSE: In
the event of any increase in the price of fuel, salaries
of drivers and employees, a 20% across-the-board increase
of the contract price shall be charged to the charterer.
To give force and effects to this provision, the LESSOR
shall inform the charterer of the increase before the
issuance of the statement of account; |

| SUBSTITUTE VEHICLES: Should
there be a need to substitute vehicle(s) other than the
buses/coasters/cars of AA BUSINESS CLASS TRANSPORT CORPORATION
for any reason whatsoever, it is hereby understood and
agreed that AA BUSINESS CLASS TRANSPORT CORP. then, will
be acting as a mere agent of the transport operator who
provided the vehicle(s) and thereof is free and harmless
from any and all liabilities to which a vehicle operator
may be held liable; |

| LENIENCY: Non-compliance
of any of the above provisions shall not be taken as
a waiver or an implied modification of liabilities due
to the parties but shall be considered as a gesture of
goodwill. |
